We provide customized debt and equity financing solutions to emerging and growth stage companies, which we define as companies having annual earnings before interest, taxes, depreciation and amortization (“EBITDA”) or in certain situations projected 12-month EBITDA, of between $1.5 million and $20.0 million or revenues and/or projected revenues of between $5.0 million and $100.0 million with a clear road map to our targeted EBITDA.  We look for operationally oriented management with direct industry experience and a successful track record. In addition, we expect the management team of each portfolio company to have meaningful equity ownership in the portfolio company to better align our respective economic interests. We believe management teams with these attributes are more likely to manage their companies in a manner that both protects our debt investments and also enhances the value of our equity investments. We seek to invest in emerging and growth stage companies with sound historical performance and/or pro forma financials. We typically focus on companies that have historically generated or have projected revenues of $5 million to $100 million and commensurate levels of free cash flow. We also pursue investments in debt securities of middle market growth stage companies that are generally more established companies with sound historical financial performance that are generally larger in size than emerging stage companies. We generally do not invest in start-up companies or pre-revenue companies with speculative business plans. We primarily focus on companies having competitive advantages in their respective markets and/or operating industries, with high barriers to entry, which may help to protect their market position and profitability. We seek investments we feel provide quick debt investments repayment, primarily through the recapitalization of our investment either from internally generated cash flow or in royalty structures of the portfolio company and/or through down line bank refinancing. In addition, we seek “harvest strategies” to equity investments in companies, whose business models and expected future opportunities provide alternate methods of exiting our investments, such as through a strategic acquisition by other industry participants or in recapitalizations.
